Institutional Governance & Legal Framework

Terms of Service

Effective Date: September 9, 2026

1. Acceptance and Scope

These Terms of Service (“Terms”) govern access to the exactor.dev website (the “Site”) operated by Exactor Systems (“Company”, “we”, “us”, or “our”). By accessing or reviewing the materials on this Site, you acknowledge and agree to these Terms as a Visitor (“Visitor”). If you do not agree to these Terms, you must discontinue access immediately.

2. Proprietary Operation and Zero Client Base

Exactor Systems is exclusively a software research and quantitative technology initiative. We design autonomous settlement and risk mitigation algorithms for decentralized protocols utilizing strictly proprietary resources.

  • No Customers or Accounts: We do not provide customer accounts, we do not accept deposits, we do not connect to external Web3 wallets, and we do not trade on behalf of third parties. You access this Site solely as a Visitor reviewing an architectural showcase.
  • Proprietary Trading & Non-Intermediary Posture: We operate under recognized proprietary trading exemptions. We expressly disclaim any status as a broker, dealer, exchange, investment adviser, asset manager, multilateral trading facility (MTF), or money services business (MSB). We do not intermediate third-party orders or handle external funds.
  • No Financial Advice: All data and architectural documentation displayed on the Site are for technical demonstration and educational purposes only. Nothing on this Site constitutes investment advice, a financial recommendation, or a solicitation of digital asset securities.

3. Cryptographic Non-Custody & Deterministic Settlement

Our core technology interacts with public, permissionless distributed ledger networks (including Arbitrum One and 10+ expanding EVM/SVM networks) under a mathematically verified invariant of Zero Balance-Sheet Risk:

  • Intra-Block Atomic Execution: Operations execute within a single transaction utilizing intra-block flash liquidity facilities. Capital is deployed and returned instantaneously.
  • Transient Storage State (EIP-1153): Our smart contract architecture leverages Ethereum Virtual Machine (EVM) transient storage opcodes (TSTORE and TLOAD). Execution state variables exist only for the duration of the transaction and are permanently wiped at block finality. The architecture is mathematically incapable of taking custody of external funds.
  • Deterministic Execution Verification: Real-time profitability invariants incorporate L1 calldata fee precompiles (ArbGasInfo at address 0x000000000000000000000000000000000000006c on Arbitrum One). If an operation fails its net profitability threshold after all gas and execution costs, the transaction reverts entirely. The system maintains no persistent debt and holds no assets at rest.

4. Showcase Status and “As-Is” Provisioning

The Site functions strictly as an informational demonstration. Off-chain computational instances required for state simulation are localized to low-latency cloud regions engineered for minimal latency with target sequencers, and are provisioned for our exclusive proprietary operations.

  • We provide no active Service Level Agreements (SLAs), uptime warranties, or continuous live monitoring to Visitors.
  • All Site materials and documentation are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory.

5. Acceptable Use & Intellectual Property

All architectural designs, brand trademarks, and documentation published on the Site are the exclusive intellectual property of Exactor Systems. Visitors are granted a limited, non-commercial license to review Site materials.

Visitors are strictly prohibited from:

  1. Engaging in automated scraping, data extraction, or network exhaustion attacks (DDoS).
  2. Attempting to reverse engineer, decompile, or inject unauthorized code into our web infrastructure or deployed contracts.
  3. Utilizing our brand identity, logo, or operational name to imply an affiliation, joint venture, or endorsement without prior written consent.

6. Limitation of Liability & Risk Disclosure

To the maximum extent permitted by applicable law, Exactor Systems, its developers, and operators shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, including damages for loss of profits, loss of digital assets, or business interruption arising out of or in connection with your review of the Site or reliance upon its informational content.

7. Dispute Resolution & Governing Text

As a decentralized technology project operating on a proprietary basis without third-party clients, general operational inquiries are addressed through amicable consultation. Any unresolved dispute arising from access to the Site shall be referred to and finally resolved by recognized international commercial arbitration.

For technical interpretation, operational terminology, and EVM architectural standards, the English language version of these Terms shall be the sole authoritative and governing text.
